On the closing date of the issuance of the GSR Mortgage Loan Trust 2007-3F Mortgage Pass-Through Certificates, Series 2007-3F, the Class B-4, Class B-5, Class B-6, Class R and Class RC certificates were sold to Goldman, Sachs & Co. in a transaction exempt from registration under the Securities Act of 1933 (the "Act") pursuant to Section 4(2) under the Act. The net proceeds from the sale of these certificates were applied by the depositor toward the purchase of the mortgage loans constituting the pool assets. Item 9. Exhibits.
