The acceleration of the vesting of the PSAs occurred as a result of a determination made by the Compensation Committee of the Board of Directors of the Issuer in connection with the pending merger pursuant to an Agreement and Plan of Merger by and among Progressive Waste Solutions Ltd., Water Merger Sub LLC and the Issuer.
