Item 5.02 Departure of Director

On September 14, 2007, Hemis Corporation (the “Company”) accepted the notice of resignation received from Dr. Douglas Oliver in which Dr. Oliver resigned as a Director of the Company. Dr. Oliver will remain an officer of the Company.
