- [F1]On November 4, 2010, China Oumei Real Estate Inc. (the "Issuer") granted Weiqing Zhang (the "Reporting Person") an option to purchase 434,000 ordinary shares under the Issuer's 2010 Equity Incentive Plan. The option vests with respect to 50% of such shares on December 15, 2010, and thereafter with respect to 5% of such shares on each successive one-month anniversary thereof, commencing with the first such anniversary; provided, however, that the option cannot begin vesting until the consummation of the Issuer's public offering. However, upon the consummation of the public offering, the option will have an immediate vesting of all shares that would have otherwise vested at such time.
