- [F1]On June 30, 2009, Wisetop International Holdings Limited ("Wisetop") entered into separate option agreements with the original founders of the Issuer's subsidiary Siping Juyuan, pursuant to which such founders were granted options to purchase an aggregate of 10,240,786 shares of the Issuer's Common Stock owned by Wisetop at an exercise price of $0.712 per share. On December 17, 2010, the founders exercised their options. On December 23, 2010, the shares were transferred to the founders.
- [F2]Ms. Zhao is a party to an option agreement, dated June 30, 2009, with Wisetop, pursuant to which Ms. Zhao has the right to purchase from Wisetop 505,667 shares of common stock of the Issuer at an exercise price of $0.712 per share during the period commencing on the 90th day following June 30, 2009 and ending on June 30, 2011. Ms. Zhao exercised her options on December 17, 2010 and the shares were transferred to her on December 23, 2010.
