RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On August 14, 2012, China TransInfo Technology Corp., a Nevada corporation, issued a press release announcing its financial results for the three and six months ended June 30, 2012. A copy of the press release is hereby furnished as Exhibit 99.1 and incorporated herein by reference.
