Item 1.01 Entry into a Material Definitive Agreement

On December 24^th, 2018 Galenfeha entered into a Definitive Agreement to acquire all assets and operations of Frontier Oilfield Services, Inc. (the ‘Company’). In consideration for the release of all claims and liabilities shareholders have against the assets and operations of the Company, Galenfeha, Inc. will issue one share of Preferred Stock for each share of Frontier Oilfield Services, Inc. common stock.

On December 26^th, 2018, Galenfeha, Inc. issued a press release regarding the acquisition of the assets and operations of Frontier Oilfield Services, Inc. A copy of the press release is attached as Exhibit 99.2.
