- [F1]The shares were disposed of pursuant to the Agreement and Plan of Merger (the "Merger Agreement"), dated as of February 22, 2023, by and between LINKBANCORP, Inc. ("LINK") and Partners Bancorp ("Partners"). Pursuant to the Merger Agreement, at the Effective Time (as defined in the Merger Agreement), each share of Partners common stock was converted into the right to receive 1.150 shares of common stock of LINK and cash in lieu of fractional shares. On November 30, 2023, the closing price of the issuer's common stock was $7.15 per share, and the closing price of LINK's common stock was $6.47 per share.
