Item 7.01. Regulation FD.

On January 22, 2026, Lion Copper and Gold Corp. (the "Registrant") issued a press release announcing that it has received US$30.5 million from Nuton LLC, a wholly-owned subsidiary of Rio Tinto, further to the Registrant's press release dated November 24, 2025, pursuant to the parties' previously announced earn-in agreement relating to the advancement of the Yerington Copper Project in Nevada, USA.

In accordance with General Instruction B.2 of Form 8-K, the information set forth in Item 7.01 and in the press release is deemed to be "furnished" and shall not be deemed "filed" for purposes of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), and shall not be incorporated by reference into any registration statement or other document filed under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.
