Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Stratus Capital Corp. (the “Company”) appointed Mary Helen Cobb-Bogan as an Executive Vice-President of the Company effective December 1, 2020. However, the Company and Mary Helen Cobb-Bogan were never able to come to terms regarding her appointment as Executive Vice-President and the officer-ship was terminated mutually.
