- [F2]Pursuant to the Merger Agreement, this option, which vested in three equal annual installments beginning on December 11, 2001, was converted into and cancelled for a cash payment equal to the product of (i) the excess of $64 per share over the exercise price per share of this option, and (ii) the number of shares of Common Stock covered by this option.
