Each such share of 2002-A Preferred Stock so received has a stated value of $20 and is immediately convertible into the number of shares of Common Stock equal to such stated value divided by $2.76. The 2002-A Preferred stock is perpetual and does not have an expiration date, but it may be redeemed at the opti on of the Issuer at any time on or after August 2, 2005.
