- [F1]On June 2, 2006, DSL.net, Inc. (the "Issuer") entered into an amendment agreement with DunKnight Telecom Partners LLC ("DunKnight") and its co-investor extending the maturity date of the Issuer's outstanding debentures held by DunKnight and its co-investor. In consideration for DunKnight's agreement to extend the maturity date of the Issuer's debentures held by DunKnight, the Issuer issued to DunKnight 3,712,500 restricted shares of the Issuer's common stock. Mr. Struwas is a minority equity investor in DunKnight and exercises no management control over DunKnight. As an equity investor in DunKnight, Mr. Struwas has an indirect pecuniary interest in the common shares issued to DunKnight.
