- [F1]On June 2, 2006, DSL.net, Inc. (the "Issuer") entered into an amendment agreement with DunKnight Telecom Partners LLC ("DunKnight") and its co-investor extending the maturity date of the Issuer's outstanding debentures held by DunKnight and its co-investor. In consideration for DunKnight's agreement to extend the maturity date of the Issuer's debentures held by DunKnight, the Issuer issued to DunKnight 3,712,500 restricted shares of the Issuer's common stock. Mr. Kleinknecht is the sole managing member of DunKnight and, as an equity holder in DunKnight, Mr. Kleinknecht holds an indirect pecuniary interest the common shares issued to DunKnight.
