- [F1]On September 28, 2008, the issuer canceled, pursuant to an Exchange Agreement entered into with the reporting person as of that date, options to purchase an aggregate of 33,675 of the issuer's common stock (the "Options") originally granted under the issuer's 2007 Equity Incentive Plan (the "Incentive Plan"), as amended. In exchange for the cancellation of the Options, the reporting person received .75 share of restricted stock under the issuer's Incentive Plan for every one Option canceled, for an aggregate of 25,256 shares of restricted stock (the "Restricted Stock"). The Restricted Stock reported on this Form 4 vest in full on August 20, 2009.
