In connection therewith, the Company issued 599,999 Shares at the then current market price of $0.10 per Share based on and in satisfaction of amounts previously loaned to the Company.

In connection therewith, the Company issued 334,587 Shares at the then current market price of $0.13 per Share to the reporting person based on amounts previously paid by the reporting person to or on behalf of the Company.
