- [F1]Effective May 27, 2009, the Issuer and two of its wholly owned subsidiaries entered into a financing transaction (the "Financing") with five investors to provide financing of up to $4,000,000, pursuant to which John Thomas Bridge and Opportunity Fund, L.P. ("JTBO") was issued 14,630,000 shares of Issuer common stock for an aggregate purchase price of $52,500. In connection with the Financing, JTBO and the Issuer also agreed that the 1,800,000 shares (the "April Shares") of Issuer common stock issued to JTBOF in April of 2009 in connection with a loan made by JTBOF to the Issuer would be repaid in full at the first closing of the Financing and cancelled, and that JTBOF would return the certificates evidencing all of the April Shares to the Issuer for cancellation.
- [F2]These shares reported are directly owned by JTBO. John Thomas Capital Management Group, LLC ("JTCMG") serves as the general partner of JTBO. The Reporting Person is the managing member of JTCMG.
- [F3]These shares reported are directly owned by Marathon Advisors, LLC ("Marathon"). The Reporting Person may be deemed to share voting and dispositive power with respect to the shares of common stock of the Issuer beneficially owned by Marathon.
