- [F1]Pursuant to an agreement by and between the Issuer and the Reporting Person dated effective June 8, 2009, the Reporting Person provided a payment guarantee on behalf of America West Marketing, Inc., the Issuer's wholly owned subsidiary ("AmWest Marketing"), to facilitate a coal purchase transaction with a third party supplier (the "Coal Transaction"). The Reporting Person was issued 500,000 shares of the Issuer's common stock as additional consideration for extending the payment guarantee.
- [F2]Pursuant to an agreement by and between the Issuer and John Thomas Bridge and Opportunity Fund, LP ("JTBOF") dated effective June 8, 2009, JTBOF provided a standby letter of credit on behalf of AmWest Marketing to facilitate the Coal Transaction. JTBOF was issued 1,100,000 shares of the Issuer's common stock as additional consideration for extending the standby letter of credit.
- [F3]These shares reported are directly owned by JTBOF. John Thomas Capital Management Group, LLC ("JTCMG") serves as the general partner of JTBO. The Reporting Person is the managing member of JTCMG.
- [F4]These shares reported are directly owned by Marathon Advisors, LLC ("Marathon"). The Reporting Person may be deemed to share voting and dispositive power with respect to the shares of common stock of the Issuer beneficially owned by Marathon.
- [F5]The Reporting Person disclaims beneficial ownership of these shares, except to the extent of his pecuniary interest therein.
