Item 5.02	Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 2, 2010, Welwind Energy International Corp. (the “Company”) accepted the resignation of Shannon de Delley as the Director of the Company, such resignation was effective immediately. There were no disagreements between Mr. de Delley and our Board of Directors regarding any business practices or procedures.
