[F1]These shares were issued as additional consideration to the Reporting Person in connection with the Reporting Person's purchase of an unsecured promissory note from the Issuer.
[F2]On October 2, 2009, John Thomas Bridge and Opportunity Fund II, LP, a Delaware limited partnership ("JTBOF II"), loaned $210,000.00 to the Issuer, as a result of which the Issuer executed a promissory note for the benefit of JTBOF II (the "October 2, 2010 Note"). As part of the consideration for the loan, under the terms of the October 2, 2010 Note the Issuer issued 2,100,000 shares of common stock to JTBOF II.
[F3]On December 8, 2009, JTBOF II, loaned $210,000.00 to the Issuer, as a result of which the Issuer executed a promissory note for the benefit of JTBOF II (the "December 8, 2010 Note"). As part of the consideration for the loan, under the terms of the December 8, 2010 Note the Issuer issued 2,250,000 shares of common stock to JTBOF II.
[F4]These shares reported are directly owned by JTBOF II. John Thomas Capital Management Group, LLC ("JTCMG") serves as the general partner of JTBOF II. The Reporting Person is the managing member of JTCMG.
[F5]These shares reported are directly owned by John Thomas Bridge and Opportunity Fund, LP, a Delaware limited partnership ("JTBOF"). JTCMG serves as the general partner of JTBOF. The Reporting Person is the managing member of JTCMG.
[F6]These shares reported are directly owned by Marathon Advisors, LLC ("Marathon"). The Reporting Person may be deemed to share voting and dispositive power with respect to the shares of common stock of the Issuer beneficially owned by Marathon.
