The Reporting Person disclaims beneficial ownership of the shares except to the extent of his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for the purposes of Section 16 or any other purpose.
- [F2]5,000,000 shares of Common Stock issued in May 2003 and previously reported, are held pursuant to the terms of and for the consideration set out in a Farmin Agreement made between Rocky Mountain Minerals, Inc. and each of Octanex NL and Strata Resources NL and pursuant to a Deed of Settlement made by Rocky Mountain Minerals, Inc. as Settlor and Fidelity Investments Ltd as Trustee. Each of Octanex NL and Strata Resources NL are the beneficiaries entitled to the proceeds of sale of such securities pursuant to the Deed of Settlement. Neither Octanex nor Strata have any legal or beneficial interest in such securities, but are entitled in the circumstances set out in the Deed of Settlement and in the Farmin Agreement to the proceeds of such trust securities.
- [F3]The Reporting Person may be deemed to have a pecuniary interest in such Common Stock and Preferred Stock as the Reporting Person is a director and shareholder of each of Octanex NL and Strata Resources NL, the beneficiaries of a Deed of Settlement and resulting trust for sale. Neither Octanex NL nor Strata Resources NL have any dispositive power in respect to such securities, but are entitled in the circumstances set out in the Deed of Settlement and the Farmin Agreement to the proceeds of sale of such trust securities. The Reporting Person disclaims beneficial ownership of the shares held by Fidelity Investments Ltd, except to the extent of his indirect and remote pecuniary interest therein. The inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of any or all of the reported shares for the purposes of Section 16 or any other purpose.

Neither Octanex nor Strata have any legal or beneficial interest in such securities, but are entitled in the circumstances set out in the Deed of Settlement and in the Farmin Agreement to the proceeds of such trust securities.

- [F6]10,000,000 shares of Common Stock previously reported and acquired by way of swap by Fidelity Investments Ltd as Trustee for the aforesaid Deed of Settlement in consideration (exchange) for 19,091,500 Preferred Stock disposed of by Fidelity Investments Ltd. The Reporting Person may be deemed to have a pecuniary interest in such stock as the Reporting Person is a director and shareholder of each of Octanex NL and Strata Resources NL who are parties to a Farmin Agreement and who are the beneficiaries of a Deed of Settlement and resulting trust for sale of such securities. The Deed of Settlement entered into between Rocky Mountain Minerals, Inc. and Fidelity Investments Ltd secures payment due by Rocky Mountain Minerals, Inc. pursuant to the Farmin Agreement.
- [F7]Neither Octanex NL nor Strata Resources NL have any dispositive power in respect to such securities, but are entitled in the circumstances set out in the Deed of Settlement and the Farmin Agreement to the proceeds of sale of such trust securities. The Reporting Person disclaims beneficial ownership of the shares held by Fidelity Investments Ltd, except to the extent of his indirect and remote pecuniary interest therein as a director and shareholder in each of Octanex NL and Strata Resources NL. The inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of any or all of the reported shares for the purposes of Section 16 or any other purpose.
- [F8]On 31 March 2005 3,000,000 shares of Common Stock were issued by Rocky Mountain Minerals, Inc. to the Reporting Person as consideration for accrued wages and expenses of $45,000.
- [F9]On 20 July 2005 10,000,000 shares of Common Stock previously issued to Octanex NL and Strata Resources NL and referred to in Response 4. above, were bought back into Treasury by Rocky Mountain Minerals, Inc., effective as of 5 May 2005. Consideration was $150,000.
