- [F1]Pursuant to a stock transfer agreement dated as of March 25, 2010 and an amendment of the stock transfer agreement dated as of April 12, 2010, Mr. Yumin Liu, a shareholder of the Issuer, transferred 1,800,000 shares of the common stock of the Issuer (the "Common Stock") to the Reporting Person with no consideration. The Reporting Person agreed that he will hold the Common Stock for the purpose of giving him additional voting power and that he will not sell, grant any security interest in, pledge, or otherwise dispose of or enter into any transaction which will result in the disposition of any shares of the Common Stock. The term of the stock transfer is for three years and the Reporting Person will return all the shares of the Common Stock to Mr. Yumin Liu at the end of the term.
