Section 1. Registrant’s Business and Operations

Item 1.01. Entry into a Material Definitive Agreement.

On December 28, 2010, United eSystems, Inc. (the “Company”) entered into a loan and security agreement (the “Agreement”) with Robert J. Sorrentino pursuant to which Mr. Sorrentino loaned the Company $500,000 as evidenced by a secured promissory note issued by the Company on or about December 29, 2010 (the “Note”) upon receipt of loan proceeds from Mr. Sorrentino. The Agreement and the Note were filed as exhibits to the Form 8-K filed by the Company on December 29, 2010.

On June 30, 2012, the Company entered into an amendment to the Agreement and the Note with Gordon Dumont as successor to the Agreement and Note (the “Amendment”) pursuant to a bill of sale dated June 29, 2012 (the “Bill of Sale”). The Amendment updates the present loan balance of the Note to $250,000, bearing interest at the greater of (i) 12% per annum or (ii) the 30-day LIBOR rate, as published in the Wall Street Journal plus 1,075 basis points. The interest rate will change each time and as of the date that the 30-day LIBOR rate changes. Commencing on August 29, 2012 and continuing to and including the same day of each month thereafter, to and including August 30, 2017, the Company shall make monthly installments consisting of principal and accrued interest. The first monthly payment due August 29, 2012, shall be for $10,492.62 which represents sixty (60) days of interest ($4,931.51) which has accrued since the effective date of the Amendment, June 30, 2012, plus the specified monthly payment of $5,561.11. Each monthly payment thereafter shall consist of a payment equal to $5,561.11. In the event of a default, the entire principal amount of the Note shall become immediately due and payable and such principal shall thereafter accrue interest at the interest rate described above plus 3%. The Note is secured by all of the assets, existing, owned or hereafter acquired by the Company pursuant to the loan and security agreement. Mr. Dumont currently owns approximately 0.6% of the Company’s outstanding common stock.
