- [F1]On August 26, 2004, Mr. Mohlman acquired 1,888,889 shares of AMW common stock in a private transaction. The consideration paid was $.90 per share, or an aggregate of $1,700,000, which amount constituted all of the principal under three promissory notes of AMW in favor of its president, Mr. Mohlman. Principal and all accrued interest on the notes, which were entered into during AMW's current fiscal quarter, were otherwise due and payable on June 2, 2006. The notes bore simple interest at the rate of 1.5% per annum, which accrued interest was forgiven by Mr. Mohlman.
