- [F1]On June 8, 2007, Richard Moore entered into a share purchase agreement with Alexander Craven in which Mr. Craven will transfer to Mr. Moore 6,000,000 post-split restricted shares of common stock for consideration of US $1.00, but subject to escrow and other conditions. The escrow agreement provides that the escrow agent will only release 500,000 post-split shares of common stock to Mr. Moore every three month starting July 20, 2007, provided that (a) if the employment agreement between Mr. Moore and Fox Petroleum Inc. is terminated, the escrow agent will deliver only those shares earned by Mr. Moore and the rest of shares will be returned to Mr. Craven, and (b) if there is a change of control transaction, the escrow agent will deliver all of the balance of 6,000,000 post-split shares to Mr. Moore.
