- [F1]On April 1, 2019, The Parking REIT, Inc. (the "Issuer") issued 400,000 shares of common stock to MVP Realty Advisors, LLC (the "Manager") pursuant to the terms and conditions set forth in the Contribution Agreement, dated as of March 29, 2019, among the Issuer, the Manager, Vestin Realty Mortgage I, Inc.("VRM I") (solely for purposes of Section 1.01(c) thereof).VRM I and VRM II own 40% and 60%, respectively, of the outstanding interests of the Manager. The Reporting Person is a director and executive officer of VRM I and VRM II, and beneficially owns approximately 18.25% and 33.56% of the total outstanding shares of VRM I and VRM II, respectively, as of the date of this report. The Reporting Person disclaims beneficial ownership of the Issuer common stock held by the Manager.
- [F2]These shares are held by Peggy M. Shustek Trust, FBO Andrew M. Shustek. Mrs. Shustek is the Reporting Person's spouse and his son is Andrew Shustek. The Share information set forth in this Form 4 include shares of the Issuer's common stock issued as part of the Issuer's distribution reinvestment plan since the Reporting Person's filing of its prior Form 4 on December 27,2017.
- [F3]These shares were previously held by MVP Capital Partners LLC, a company wholly owned by the Reporting Person, and transferred to Michael V. Shustek LLC, another company wholly owned by the Reporting Person. See also footnote 2.
