Item 5.02-Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 6, 2021, Senator Orin Hatch (Retired) tendered his resignation as a Director of Predictive Technology Group, Inc. and its subsidiaries (the "Company"). Senator Hatch's resignation is effective immediately, and not the result of any disagreement with the Company's managment and other directors, or any matters relating to the Company's operations, policies and practices. The Company's CEO, other officers and directors thank Senator Hatch for his service to the Company. The resignation reduced the number seated as Board Members from 5 to 4.
