- [F1]On February 22, 2011 the Organization and Compensation Committee approved a payout of performance units granted on March 18, 2008 under the Company's Performance Share Sub-Plan (PSSP). The number of units payable pursuant to the 2008 grant was determined in accordance with the PSSP on February 22, 2011. Pursuant to the terms of the PSSP, upon conversion of such units to shares of common stock, a number of shares necessary to cover the required taxes will be withheld and sold at a later date. The final number of shares of Common Stock to be received will be determined following the sale of a portion of the shares to pay taxes.
