The number of units payable pursuant to the 2009 grant was determined in accordance with the PSSP on February 22, 2012. Pursuant to the terms of the PSSP, upon conversion of such units to shares of common stock, a number of shares necessary to cover the required taxes will be withheld and sold at a later date.
