OnSunrise ~~August~~Technologies International, Inc. announced on September 212, 2001, that the Company ~~entered~~signed ~~into~~an aExtension ~~Manufacturing~~ Agreement with ~~C-MAC~~ ~~West~~Silicon ~~Coast~~Valley ~~Operations,~~Bank ~~Inc~~and the David A. inBrewer ~~which~~Trust, ~~C-MAC~~as ~~has~~Guarantor ~~agreed~~extending tothe ~~become~~maturity date of the ~~Company’s~~approximately ~~sole~~$3.9 million ~~source~~remaining ~~manufacturing~~amount ~~provider~~of ~~for~~its ~~the~~revolving ~~HYPERION™~~line-of-credit ~~LTK~~to October 6, ~~System~~2001. Under the terms of the ~~agreement~~Extension Agreement, the Company ~~will~~agreed to ~~transfer~~the ~~all~~following: ~~its manufacturing~~(1) to ~~employees~~pay a fully earned, ~~including~~non-refundable ~~assembly~~extension ~~and~~fee ~~test~~of $10,000, ~~personnel~~(already paid) (2) to ~~C-MAC.~~make ~~In addition,~~a ~~C-MAC~~payment ~~will~~to ~~purchase~~the ~~approximately~~bank of not less than $61,000,000 ofon ~~inventory~~or before September 14, 2001, (already paid). (3) to make an ~~with~~additional payment to bethe ~~made~~bank onof ~~fixed~~not ~~dates~~less ~~between~~than ~~August~~$1,000,000 on or before September 221, 2001, and (4) if the full amount of the loan obligations are not ~~January~~repaid by September 3021, ~~2002.~~2001 ~~C-MAC~~to ~~will~~pay ~~begin~~an ~~manufacturing~~additional ~~operations~~fee equal to $75,000 plus $25,000 per week (pro-rated for ~~the~~partial weeks) thereafter, until fully paid. ~~HYPERION™~~Such ~~LTK~~extension ~~System~~payments inwill ~~August~~be ~~with~~applied first ~~deliveries~~to ~~estimated~~accrued interest, then to outstanding ~~take~~principal ~~place~~due in under the ~~fourth~~Loan ~~quarter~~Agreement, and the remainder to outstanding bank expenses. ~~The~~Any ~~Company~~failure ~~has~~by ~~agreed~~the Company to ameet ~~minimum~~the ~~purchase~~above ~~commitment~~terms and conditions under the Extension Agreement shall be deemed as an Event of 24Default ~~units~~under ~~per~~the ~~quarter~~Loan ~~for~~Agreement ~~eight~~and ~~consecutive~~Guaranty ~~quarters~~and ~~beginning~~shall interminate the ~~fourth~~bank’s ~~quarter~~agreement ofto ~~2001~~extend. The first extension payment was funded from the $1,750,000 payment received by the Company from C-MAC Industries pursuant to the recently signed manufacturing agreement ~~has~~between athe ~~duration~~two companies. In addition, the Company continues in discussions with alternative sources of ~~three~~capital ~~years~~to raise the funds necessary to pay the second extension payment and the remaining balance owed to the bank but the Company can give no assurances that it will be successful in raising the necessary funds.
