Item 3.03 Material Modification to Rights of Securities Holders

On 19 November 2013 All Grade Mining, Inc. upwardly modified its authorized shares by 200,000,000, to 211,001,000 authorized shares, to meet its contractual obligations. 210,000,000 shares are being allocated for common voting shares, and 1,001,000 shares authorized for preferred classes.
