Item 1.01 Entry into a Material Definitive Agreement.

On August 20, 2025, Materion Corporation (the “Company”) and certain of its subsidiaries entered into an amendment (the “Amendment”) to their Amended and Restated Precious Metals Consignment Agreement governing their U.S. consignment facility (the “Consignment Facility”) with Bank of Montreal (“BMO”). Among other things, the Amendment extends the maturity date of the Consignment Facility from August 31, 2025 to August 31, 2028. The Consignment Facility is the Company’s largest precious metals consignment facility, with a consignment limit of $150.0 million.
