("OpenTV") in connection with the merger (the "Merger") of ACTV Merger Sub, Inc., a wholly-owned subsidiary of OpenTV, into ACTV, Inc. ("ACTV"). As a result of the Merger, ACTV became a wholly-owned subsidiary of OpenTV and all of the outstanding shares of common stock of ACTV were cancelled. As of the effective date of the Merger, the closing price of an OpenTV Class A ordinary share was $1.51, and the closing price of ACTV's common stock was $0.97 per share.
