(“Centerpulse”) is filing this Report on Form 6-K to furnish the media release announcing that the shareholders of Zimmer Holdings, Inc. have approved the issuance of new shares necessary to complete its exchange offer for Centerpulse, and that the Centerpulse Board of Directors unconditionally recommends the Zimmer offer.
