- [F1]Marc J. Leder ("Leder") and Rodger R. Krouse ("Krouse") each own 50% of the membership interests in Sun Capital Partners, LLC ("Sun Partners LLC"), which in turn is the general partner of Sun Capital Advisors II, LP ("Sun Advisors"), which in turn is the general partner of Sun Capital Partners II, LP ("Sun Partners LP"), which in turn wholly owns Sun HealthPlan, LLC ("Sun HealthPlan"), which in turn owns 100% of the issued and outstanding capital stock of HealthPlan Holdings, Inc. ("HealthPlan Holdings"). As a result, Leder, Krouse, Sun Partners LLC, Sun Advisors, Sun Partners LP and Sun HealthPlan may be deemed to have indirect beneficial ownership of the shares of Common Stock owned directly by HealthPlan Holdings. Leder, Krouse, Sun Partners LLC, Sun Advisors, Sun Partners LP and Sun HealthPlan each expressly disclaims beneficial ownership of any shares of Common Stock in which they do not have a pecuniary interest.
