Mr. McPhee disclaims beneficial ownership of Mi3, L.P.'s shares for all other purposes. Mi3, L.P. is a party to a Voting Agreement. The shares held by the other parties to the Voting Agreement are not included here.
- [F2]The Compensation Committee and the Issuers Board approved grants of non-qualified options to the Reporting Person on the terms described in Table II. The options vest in accordance with and are in other respects subject to stock option award agreements. Does not include shares issuable upon conversion of revolving convertible senior secured promissory notes in the aggregate principal amount of $500,000 held by Mi3, L.P. which shall convert automatically upon the same terms as shares are issued in a qualified financing.
- [F3]On February 16, 2004, Mr. McPhee was granted an option to acquire a total of 60,000 shares of common stock of IMCOR Pharmaceutical Co. pursuant to a letter agreement dated effective as of April 1, 2003; 7,500 shares vesting quarterly for eight quarters. These options may terminate earlier under certain circumstances as set forth in Mr. McPhee's award agreement.
