Item 5. Other Events and Required FD Disclosure.

On July 8, 2004, EquiFin, Inc. (the “Company”) issued a press release announcing that the Company received a notice from the American Stock Exchange (the “AMEX”) that it intends to suspend trading of the Company’s common stock on July 14, 2004 and file an application with the Securities and Exchange Commission to strike the Company’s common stock from listing and registration with the AMEX. A copy of the press release is attached to this Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
