- [F2]These Phantom Stock Units were credited to the reporting person's account in the Issuer's Nonqualified Deferred Compensation Plan (NQDCP) pursuant to the reporting person's election under the NQDCP to forfeit stock on 7/29/03 in order to defer vesting which was originally scheduled to occur on 8/7/04. Under the NQDCP, restricted stock deferral elections must be made at least 12 months before the vesting date and Phantom Stock Units are credited to the NQDCP participant's account on the date that the forfeited stock would have vested. The number of units credited to the reporting person's account was determined on a 1-for-1 basis equal to the number of shares of common stock that would have vested on 8/7/04 (6,750 shares), reduced by the number of units having a value equal to the Issuer's tax withholding obligation.
- [F3]The Phantom Stock Units are payable in cash following the reporting person's termination of employment or such other date specified by the reporting person. However, the reporting person may elect to transfer funds into other investments accounts within the NQDCP from time to time.
