("ADI" and together with Merge, the "Reporting Persons"), AccuImage Diagnostics Corp. ("AccuImage") and Aviel Faliks, Merge and Mr. Faliks entered into that certain Voting, Proxy and Option Agreement, dated as of November 24, 2004 (the "Voting Agreement") with respect to 34,050,000 shares of the common stock of AccuImage, par value $0.01 per share (the "Common Stock"), held by Mr. Faliks as of November 24, 2004. Each of the Reporting Persons disclaims beneficial ownership of the securities reported herein, except to the extent of its voting interest therein.
