Item 1.01 Entry into a Material Definitive Agreement.

On June 1, 2005, Fastclick, Inc. (the “Registrant”) entered into an Office Lease Agreement (the “Lease Agreement”) with I & G Lexington, L.L.C. (“I & G”), a New York limited liability company. Pursuant to the Lease Agreement, the Registrant will lease from I & G approximately 3,935 square feet of space located at 370 Lexington Avenue, Suite 908, New York, NY. The Lease Agreement expires on September 30, 2010. Attached to this Current Report on Form 8-K as Exhibit 10.1 is a copy of the Lease Agreement.
