- [F1]On the date hereof, the Reporting Person has a direct beneficial ownership interest in 6,000 restricted shares of common stock, par value $0.01 per share. The restrictions on the shares lapse ratably over four years, beginning on the first anniversary of the date of the grant, February 8, 2005. In addition, the Reporting Person has a direct beneficial ownership interest in 25,000 restricted shares of common stock, par value $0.01 per share. One half of the shares are subject to restrictions which will lapse ratably over five years, beginning on the first anniversary of the date of grant, June 27, 2005, and the remaining shares are subject to forfeiture, on a pro rata basis, in the event the Reporting Person voluntarily resigns his position on the Issuer's Board of Directors prior to the expiration of such five-year term.
