Item 8.01 Other Events.

On September 6, 2005, early termination of the antitrust waiting period under the Hart-Scott-Rodino Act was granted for the planned acquisition by Walter Industries, Inc. of Mueller Water Products, Inc., which is the parent of Mueller Group, Inc. (the “Company”). The transaction remains subject to various customary closing conditions, including the funding of financing. The Company continues to expect that the transaction will close within the next several weeks.
