Item 7.01 Regulation FD Disclosure.

On January 17, 2006, Adelphia Communications Corporation (the “Company”) and certain of its subsidiaries, including the registrants (collectively, with the Company, the “Debtors”), will file their ninth omnibus claims objection (the “Ninth Claims Objection”) and their tenth omnibus claims objection (the “Tenth Claims Objection” and, together with the Ninth Claims Objection, the “Claims Objections”) with the United States Bankruptcy Court for the Southern District of New York (the “Bankruptcy Court”). Pursuant to the Ninth Claims Objection, the Debtors are seeking to subordinate or disallow and expunge in excess of $3.5 billion of claims asserted against the Debtors. Pursuant to the Tenth Claims Objection, the Debtors are seeking to disallow and expunge, reclassify, reduce and allow and/or allow in excess of $8 billion of claims asserted against the Debtors. The hearing on the Claims Objections is scheduled for March 1, 2006 before the Bankruptcy Court. As the claims reconciliation process continues, additional objections may be filed with the Bankruptcy Court.
