Item 7.01 Regulation FD Disclosure.

On March 17, 2006, Adelphia Communications Corporation (the “Company”) and certain of its subsidiaries, including the registrants (collectively, with the Company, the “Debtors”), will file their eleventh omnibus claims objection (the “Claims Objection”) with the United States Bankruptcy Court for the Southern District of New York (the “Bankruptcy Court”). Pursuant to the Claims Objection, the Debtors are seeking, among other things, to disallow and expunge, reduce and allow, and/or reclassify in excess of $400 million of claims asserted against the Debtors. The hearing on the Claims Objection is scheduled for April 25, 2006 before the Bankruptcy Court. As the claims reconciliation process continues, additional objections may be filed with the Bankruptcy Court.
