Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On November 8, 2006 the Board of Directors of Bresler & Reiner, Inc. (the “Company”), appointed Mr. Darryl M. Edelstein to serve as Executive Vice President-Finance and Chief Financial Officer of the Company, effective immediately. Coinciding with the appointment, the Board eliminated the position of Chief Operating Officer, a position previously held by Mr. Edelstein.

Information regarding Mr. Edelstein required by this Item 5.02 has been previously disclosed in our Annual Report on Form 10-K for the fiscal year ended December 31, 2005 and the Proxy Statement for our 2006 Annual Meeting of Shareholders, both as filed with the Securities and Exchange Commission.
