On August 1029, 2007, Boston Capital Real Estate Investment Trust, Inc. (the “Company”) ~~entered~~issued ~~into~~ a ~~Letter~~press ~~Agreement~~release (the “~~Amendment and Waiver”)~~Press ~~with Wachovia Bank, National Association (“Wachovia~~Release”) ~~which~~announcing ~~modifies~~that ~~certain terms~~the ~~and~~Company’s ~~conditions~~board ~~set~~of ~~forth~~directors ~~in the Credit Agreement~~ (the “~~Credit Agreement~~Board”), ~~dated~~authorized asa ofdistribution ~~December~~to 6,its ~~2006,~~investors ~~among~~for ~~the~~September ~~Company,~~2007 as(the ~~Borrower,~~“Distribution”). The ~~Wachovia,~~Distribution ~~as Administrative~~is ~~Agent~~equivalent ~~and~~to ~~L/C~~an ~~issuer, Wachovia Capital Markets, LLC, as~~annual ~~Sole~~rate ~~Lead~~of ~~Arranger~~six ~~and~~percent ~~Sole~~(6%) ~~Book~~(assuming ~~Manager, and each lender from time to time party thereto. A copy of~~ the ~~Credit~~share ~~Agreement~~ was ~~previously~~purchased ~~filed~~for as$10) ~~Exhibit~~and is ~~10.1~~expected to ~~the~~constitute ~~Company’s~~a ~~Current~~return ~~Report~~of oncapital ~~Form~~for ~~8-K~~tax ~~on December 12, 2006~~purposes.

InA ~~addition,~~copy ~~Wachovia agreed in the Amendment and Waiver to waive certain provisions~~ of the ~~Credit~~Press ~~Agreement~~Release tois ~~permit~~attached ~~the~~hereto ~~Company, subject to~~as ~~certain~~Exhibit ~~conditions, to make additional borrowings under the Facility without being required to first repay in full its initial borrowings thereunder~~99.1 ~~Finally, Wachovia agreed in the Amendment~~ and ~~Waiver~~is toincorporated ~~waive~~into ~~and~~this ~~discharge~~Current ~~its~~Report ~~rights under~~on ~~the~~Form ~~Credit~~8-K ~~Agreement to receive prior written notice of the Company’s~~by ~~inability to extend the termination date of the Offering~~reference.
