Item 8.01. Other Events.

On June 25, 2008, Clayton Holdings, Inc. (the “Company”) issued a press release announcing that it has received stockholder approval for the previously announced merger between the Company and an affiliate of a fund managed by Greenfield Partners, LLC, that the merger is expected to close on or about July 2, 2008, and that it has obtained all necessary regulatory consents and licenses required to close the transaction on such date. A copy of this press release is attached as Exhibit 99.1 hereto.
