Item 1.01. Entry into a Material Definitive Agreement.

On June 25, 2008, Channell Commercial Corporation (the “Company”) completed the purchase from Australia and New Zealand Banking Group Limited (“ANZ”) of all of the outstanding shares of stock of Channell Bushman Pty Limited (“Channell Bushman”), a subsidiary of the Company, held by ANZ, which represented 25% of the outstanding shares of Channell Bushman. The purchase was effected in accordance with Section 10.3 of the Investment and Shareholders’ Agreement, dated August 2, 2004, among the Company, Channell Bushman and ANZ. The consideration paid by the Company to ANZ for the purchase of the Channell Bushman shares was immaterial. The Company now owns 100% of the outstanding shares of Channell Bushman.
