On August 27, 2008, ILOG S.A. (“ILOG”) published a press release announcing the filing of the draft Note en Réponse (offer response document) with the Autorité des marchés financiers (the “AMF”), in response to the tender offer initiated by an indirect, wholly-owned subsidiary of International Business Machines Corporation (“IBM”) for ILOG’s shares and warrants. An unofficial english translation of the Note en Réponse is filed as Exhibit 2.1 to the Form 6-K filed by ILOG with the U.S. Securities and Exchange Commission (the “SEC”) on August 26, 2008. An unofficial English translation of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
