Item 8.01. Other Events.

On October 28, 2008, Liberty Media LLC, a wholly-owned subsidiary of Liberty Media Corporation, issued a press release announcing the commencement of a cash tender offer for the maximum aggregate principal amount of its outstanding 8-1/2% Senior Debentures due 2029 and 8-1/4% Senior Debentures due 2030 that it can purchase for $285 million at a purchase price per $1,000 principal amount determined in accordance with the procedures of a modified “Dutch Auction”. Information related to the tender offers is set forth in the press release filed herewith as Exhibit 99.1.
